Termination
The following terms confirm that the Customer and Brolly are currently partners to a SaaS Agreement for the provision and delivery of Brolly’s products and services. Furthermore, the following terms confirm that the Customer wishes to terminate their Agreement with Brolly outside the annual termination window as written into the mutual Agreement.
Upon request to terminate outside of Brolly’s annual termination window as written into the Agreement, Customer and Brolly agree as follows:
- Customer shall pay Brolly a termination fee, as invoiced, due Net30 from the date of invoice.
- The Services Agreement shall terminate upon execution and payment of the termination invoice.
- Except for the Customer’s obligation to make Payment to Brolly, each party acknowledges that the other party has no liability or further obligations to the other party and any of its affiliates under the Service Agreement.
- If the customer fails to timely make the payment within the payment window, Brolly may continue collection on the original contract agreement.
